4. Client Services and Agreements

4.2 Project Scope and Changes

Project scope, deliverables, timelines, and pricing will be specified in the Service Agreement. Any changes to the project scope may result in additional fees and timeline adjustments, subject to mutual agreement.

4.3 Client Responsibilities

Clients are responsible for:

• Providing accurate and complete information necessary for project completion
• Timely review and approval of deliverables
• Payment of fees as specified in the Service Agreement
• Obtaining necessary licenses, permissions, or rights for content and materials provided

5. Payment Terms

Payment terms, including amounts, schedules, and methods, will be specified in the Service Agreement. General payment terms include:

• Payment is due according to the schedule outlined in the Service Agreement
• Late payments may incur interest charges or result in suspension of Services
• All fees are non-refundable unless otherwise specified in the Service Agreement
• Additional work outside the original scope will be billed separately

6. Intellectual Property

6.1 Our Intellectual Property

All content, designs, code, trademarks, and other intellectual property on the Site are owned by Cube Web Technologies or our licensors and are protected by copyright, trademark, and other intellectual property laws.

6.2 Client Work Product

Ownership of work product created for clients will be specified in the Service Agreement. Generally, upon full payment, clients receive ownership of custom-developed work product, while Cube Web Technologies may retain rights to underlying frameworks, tools, and methodologies.

6.3 Client Content

Clients retain ownership of content and materials they provide. By providing content, clients grant Cube Web Technologies a license to use such content solely for the purpose of providing the Services.

7. Warranties and Disclaimers

7.1 Service Warranties: We warrant that our Services will be performed in a professional and workmanlike manner. Specific warranties, if any, will be outlined in the Service Agreement.

7.2 Disclaimer: EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OR A SERVICE AGREEMENT, THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that the Site or Services will be uninterrupted, error-free, or completely secure. You use the Site and Services at your own risk.

8. Limitation of Liability

Our total liability for any claims arising from or related to the Site or Services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

13. General Provisions

These Terms, together with any Service Agreement, constitute the entire agreement between you and Cube Web Technologies regarding the Site and Services.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

13.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
